Welcome to Sarah Wes Studio. These Terms of Service ("Terms") explain the rules for using our membership website, mobile and TV apps, and everything offered through them. Please read them carefully. By creating an account, purchasing a membership or program, or using the Services, you agree to these Terms.
1. Description of Service
Sarah Wes Studio is an online wellness membership operated by Sarah Wes LLC ("Sarah Wes Studio," the "Company," "we," "us" or "our"). These Terms apply to all users of our website, streaming services, and mobile, desktop and TV applications (individually and collectively, the "Services").
The Services include guided meditations, affirmations (with music and voice-only versions), original music and ambient soundscapes, yoga, movement and stretching flows, programs, journals, PDFs and other digital materials, along with all related features, playlists, user interfaces, content and software (the "Content").
2. Acceptance and Changes to Terms
We may update these Terms from time to time. When we do, we will post the updated version on this page and change the "Last updated" date above. If the changes are significant, we will make reasonable efforts to notify you by email or through the Services. Your continued use of the Services after changes are posted means you accept the updated Terms.
3. Eligibility and Access
You must be at least thirteen (13) years old to use the Services, and at least eighteen (18) years old, or the age of majority where you live, to create a paid account or make a purchase. If you are under 18, you may use the Services only with the involvement and consent of a parent or legal guardian.
We make no claim that the Services may be lawfully accessed in every location. When you access the Services, you are responsible for complying with the laws and regulations where you live.
4. Health and Wellness Disclaimer
The Content is offered for general wellness, relaxation and educational purposes only. It is not medical, psychological or therapeutic advice, diagnosis or treatment, and it is not a substitute for care from a qualified healthcare professional.
Always consult your doctor or a qualified healthcare provider before beginning any yoga, movement, fitness, stretching, breath work or fasting practice, especially if you are pregnant, injured, recovering from surgery, or have any medical or mental health condition. Listen to your body, move within your own limits, and stop any practice that causes pain, dizziness or discomfort.
You participate in all practices voluntarily and at your own risk. To the fullest extent permitted by law, the Company is not responsible for any injury, illness or loss arising from your use of the Content.
Do not listen to guided meditations, affirmations or relaxing soundscapes while driving, operating machinery, or doing anything that requires your full attention.
If you are experiencing a mental health crisis or emergency, please contact your local emergency services or a crisis line right away.
5. Your Account
When you register, you agree to provide accurate, current information, including a valid email address, and to keep it up to date.
You are responsible for keeping your username and password confidential and for all activity under your account. Your membership is for you alone: please do not share your login or let others use your account. If you use a shared device, always log out when you are finished.
Please notify us right away at hello@sarahwes.com if you believe your account has been used without your permission.
Your privacy matters to us. How we collect and use your information is explained in our Privacy Policy, linked at the bottom of every page.
6. Memberships, Programs and Purchases
Memberships. We offer recurring memberships that give you access to the membership library for as long as your membership is active. Current options are listed on our pricing page (for example, monthly and annual plans). The specific content included in the membership library may change over time as we add, update or retire pieces.
Programs. Some programs and digital products may be sold separately from the membership. What is included with each membership or purchase is shown on its product or pricing page at the time you buy.
License. Once you pay the applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable license to access and stream the Content for your own personal, non-commercial use, according to the plan or purchase you selected.
Streaming quality. Streaming quality depends on many factors outside our control, including your internet connection, device and location. We do not guarantee any particular resolution or audio quality.
7. Payments, Renewals and Cancellations
Automatic renewal. Memberships renew automatically at the end of each billing period (monthly or yearly) at the then-current price, and the renewal fee is charged to your payment method on file, until you cancel. By purchasing a membership, you authorize us and our payment processors to charge your selected payment method on a recurring basis.
Cancelling. You can cancel at any time from your account settings. Cancellation takes effect at the end of your current billing period, and you keep access until then. To avoid being charged for the next period, cancel before your renewal date.
Pausing. Where available, you may choose to pause your membership instead of cancelling, for the length of time offered in your account settings.
Price changes. We may change membership prices from time to time. We will give you advance notice of any price change, and it will apply from your next billing period. If you do not agree to the new price, you can cancel before it takes effect.
Refunds. Because the Content is digital and available immediately, payments are non-refundable, and we do not offer refunds or credits for partial billing periods or unused time, except where required by law or where we choose to make an exception. If you have a problem with a charge, please contact us at hello@sarahwes.com and we will do our best to help.
Taxes. Prices may not include taxes. Any applicable taxes will be added at checkout where required.
Payment details. You agree to keep a valid payment method on file. You can update your payment information at any time in your account settings. A receipt is sent to your registered email address after each successful charge.
8. Personal Use Only, Including Music
All Content is for your own personal, non-commercial use. Without our prior written permission, you may not:
(a) download, record, copy, rip, re-upload, share or redistribute any Content, including music, soundscapes and voice recordings;
(b) use any Content, including music and soundscapes, in your own videos, social media posts, podcasts, livestreams, apps or other media;
(c) play or perform any Content in a public or commercial setting, including yoga or fitness classes, retreats, spas, studios, shops or other businesses;
(d) sell, rent, sublicense or otherwise make the Content available to others.
If you would like to license Sarah Wes music or content for commercial use, please contact us at hello@sarahwes.com.
9. Your Conduct
You may use the Services only for lawful purposes and as intended. You agree not to violate or attempt to violate the security of the Services, including by: (a) accessing data or accounts you are not authorized to access; (b) probing, scanning or testing the vulnerability of any system, or breaching security or authentication measures; (c) interfering with service to any user, host or network, including by introducing viruses, overloading, flooding, spamming or crashing; (d) forging any header information in any email or post; (e) scraping or harvesting data; or (f) using bots or automated tools to access the Services.
Violations may result in suspension or termination of your account and may also result in civil or criminal liability.
Community spaces. If we offer comments, community or other shared spaces, we ask everyone to help keep them kind and welcoming. Treat others with respect. Bullying, harassment, hate speech, and degrading comments about race, religion, culture, sexual orientation, gender or identity are not allowed, and neither are spam, self-promotion or unrelated links. Anything you post in shared spaces may be visible to other members. We may remove content or suspend accounts that break these guidelines. If you see anything that concerns you, please contact us at hello@sarahwes.com.
You are responsible for any content you post, and you confirm you have the right to post it. By posting in shared spaces, you give us a non-exclusive, royalty-free license to display that content within the Services.
10. Feedback
We love hearing from you. If you send us comments, ideas or suggestions, you agree that we may use them to improve the Services without any obligation or compensation to you.
11. Intellectual Property
Sarah Wes Studio, Sarah Wes, our logos and all related names and marks are owned by the Company. You may not use them without our prior written permission.
All Content, including meditations, affirmations, voice recordings, music, soundscapes, videos, programs, journals, images, text and design, is owned by or licensed to the Company and is protected by copyright, trademark and other intellectual property laws of the United States and other countries. Except for the limited personal license described in these Terms, no rights are granted to you.
12. Social Sharing
The Services may let you share links to the Services through social networks. Sharing links is welcome, but sharing or reposting the Content itself is not permitted (see Section 8). When you use a social network, you are responsible for following its terms.
13. Apps and Software
If you use our mobile, desktop or TV apps (the "Software"), we grant you a personal, limited, non-exclusive, non-transferable license to use the Software only to access the Services, on devices you own or control.
You may not modify, decompile, reverse engineer, disassemble, translate, copy, rent, lease, resell, sublicense or distribute the Software, or make it available over a network where it could be used by multiple devices at the same time.
We may collect technical data, such as device and usage information, to provide updates, support and improve the Services, as described in our Privacy Policy. We may update the Software from time to time, and some updates may install automatically.
This license ends automatically if you do not comply with these Terms. When it ends, you must stop using the Software and delete it from your devices.
14. Copyright Infringement Notification
We respect the intellectual property of others. If you believe any material available through the Services infringes your copyright, please send a written notice to hello@sarahwes.com with:
- your physical or electronic signature, or that of a person authorized to act for the copyright owner;
- a description of the copyrighted work you believe has been infringed and of the infringing activity;
- the URL or other specific location of the material on the Services, with enough detail for us to find it;
- your name, address, telephone number and email address;
- a statement, made under penalty of perjury, that (i) the information in your notice is accurate and you are the copyright owner or authorized to act for the owner, and (ii) you have a good-faith belief that the use is not authorized by the copyright owner, its agent or the law.
If you believe in good faith that material was removed in error, you may send a counter-notice to hello@sarahwes.com that includes your name, address and telephone number; the location of the removed material; a statement under penalty of perjury that you have a good-faith belief it was removed in error; and a statement that you consent to the jurisdiction of the Federal District Court for the judicial district where your address is located (or, if you are outside the United States, any judicial district in which the Services may be found) and that you will accept service of process from the person who filed the original notice.
Please note that submitting a false or materially misleading notice or counter-notice may result in liability, including for perjury.
15. Warranty Disclaimers
THE SERVICES AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT AND NON-INFRINGEMENT.
THE COMPANY DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, PRODUCE ANY PARTICULAR WELLNESS, HEALTH OR OTHER RESULT, OR BE UNINTERRUPTED, ERROR-FREE OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
DATA SENT OVER THE INTERNET, INCLUDING BY EMAIL, IS NOT COMPLETELY SECURE AND MAY BE LOST, INTERCEPTED OR ALTERED IN TRANSIT. THE COMPANY IS NOT LIABLE FOR ANY DAMAGE OR COSTS RESULTING FROM SUCH TRANSMISSIONS.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
16. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER THE COMPANY NOR ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, PARTNERS OR AGENTS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA OR GOODWILL, BODILY INJURY, EMOTIONAL DISTRESS, OR OTHER TANGIBLE OR INTANGIBLE LOSSES, ARISING FROM OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES OR CONTENT, OR ANY ACTION WE TAKE OR FAIL TO TAKE, WHETHER BASED ON WARRANTY, CONTRACT, NEGLIGENCE, TORT OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE COMPANY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. Nothing in these Terms limits any rights you have that cannot be limited under applicable law.
17. Indemnification
You agree to defend, indemnify and hold harmless the Company and its affiliates, owners, officers, employees, contractors, agents and partners from any loss, liability, claim or demand, including reasonable legal and accounting fees, arising from (i) your misuse of the Services, (ii) any content you post or share, or (iii) your breach of these Terms. We will notify you promptly of any such claim and may choose to take over the defense of it, in which case you agree to cooperate with us.
18. Suspension and Termination
We may suspend or end your access to the Services if you break these Terms, misuse the Services, or if we are required to do so by law. You may stop using the Services and cancel your membership at any time. Sections that by their nature should continue after termination (including Sections 4, 8, 11 and 15 to 20) will continue to apply.
19. Communications
By creating an account, you agree to receive electronic communications from us about your account, purchases, billing and the Services, such as receipts, password resets and important updates. Marketing emails are sent only where you have agreed to receive them, and you can unsubscribe at any time using the link in any marketing email.
20. General Terms
These Terms are governed by the laws of the State of Mississippi, United States, without regard to its conflict-of-law rules, and excluding the United Nations Convention on Contracts for the International Sale of Goods. You agree that any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in the State of Mississippi, and you consent to the personal jurisdiction of those courts. If you live outside the United States, this does not remove any mandatory consumer protections you have under the laws of your country.
If any provision of these Terms is found invalid or unenforceable, it will be enforced to the maximum extent permitted, and the rest of the Terms will remain in full effect.
Our failure or delay in enforcing any right does not waive that right.
You may not transfer your rights or obligations under these Terms. We may transfer ours, for example in connection with a sale or reorganization of our business.
Nothing in these Terms creates a partnership, joint venture, employment or agency relationship between you and the Company. These Terms, together with our Privacy Policy, are the entire agreement between you and us about the Services.
